KarmaPDF Desktop Software License Agreement

This agreement is between you and Vcare2 LLC (“Vcare2,” “we,” or “us”) and governs the KarmaPDF desktop application.

1. Acceptance and eligibility

By installing, activating, or using KarmaPDF, you accept this agreement. If you use it for an organization, you represent that you may bind that organization. You must be legally able to enter a contract.

2. License grant

Subject to payment and compliance with this agreement, Vcare2 grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use KarmaPDF on the number of devices allowed by your purchased plan. A “lifetime” license means use of the purchased major product for as long as Vcare2 supports a compatible build; it does not promise perpetual updates, cloud services, or compatibility with future operating systems.

3. Trial

The trial is limited to one 72-hour evaluation per device. You may not reset, bypass, automate, or manipulate trial or activation controls.

4. Activation and device limits

Activation sends a license key, a one-way device identifier, operating-system type, app version, and device label to our licensing service. A license may be bound to a device. Contact support@karmapdf.com for a legitimate transfer. We may suspend or revoke keys associated with refunds, chargebacks, fraud, unauthorized sharing, or a material breach.

5. Templates and user content

Your locally saved templates and documents remain your content. You are responsible for ensuring you have rights to use them and that their terms are appropriate. Contract categories and document analysis are organizational aids, not legal advice. Opening a template creates a working copy in the app; you remain responsible for saving and reviewing the resulting document.

6. Restrictions

You may not resell or rent the software; share activation keys outside the licensed organization; defeat licensing or security controls; use the software to violate law or third-party rights; or reverse engineer it except to the limited extent applicable law expressly permits despite this restriction.

7. Updates and third-party components

We may provide fixes or updates and may discontinue obsolete builds. Open-source and third-party components remain subject to their respective licenses, included with the application where required.

8. Online signature features

Cloud signature features are separate services governed by the Terms of Service and plan limits. Electronic signatures are not suitable for every document or jurisdiction. You must determine eligibility, obtain required consent, and retain required records. Wills, codicils, testamentary trusts, and other excluded or specially regulated records must not be sent without qualified legal approval.

9. No legal advice; output review

KarmaPDF does not provide legal, tax, accounting, or professional advice. Summaries, extracted text, clause flags, and other automated output may be incomplete or inaccurate. Review the original document and obtain professional advice where appropriate.

10. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VCARE2 DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ERROR-FREE OPERATION, PERFECT EXTRACTION OR SUMMARY RESULTS, OR THAT EVERY PDF WILL BE COMPATIBLE. Some jurisdictions do not allow certain disclaimers, so they may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VCARE2 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR BUSINESS. VCARE2’S TOTAL LIABILITY ARISING FROM THE SOFTWARE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE EVENT. This section does not limit liability that cannot lawfully be limited.

12. Termination

This agreement continues until terminated. Your rights end if you materially breach it and do not cure the breach where cure is required. On termination, stop using and uninstall the software. Sections intended by their nature to survive will survive.

13. Export and sanctions

You may not use or export KarmaPDF in violation of applicable export-control or sanctions laws.

14. Consumer rights and changes

Nothing in this agreement limits non-waivable consumer rights. We may update this agreement prospectively for new versions or services and will post the effective date. Material changes do not retroactively reduce rights already granted for a paid desktop license except as required for security, law, or abuse prevention.
